INTRODUCTION TO OUR COMPANY

Vivaris Capital, LLC (“Vivaris Capital,” the “Company,” or the “Fund”) was formed for the purpose of delivering superior alternative asset returns while mitigating downside risk by using investment grade securities and making opportunistic investments. Vivaris Capital’s investment strategies are targeted at middle-market, well-established companies and late-stage venture capital technology companies at an inflection point where additional capital and revitalized management are capable of spurring serious economic expansion (“Growth Equity”), as well as under-utilized or non-performing residential and commercial real estate developments where proper renovations and marketing can lead to serious value appreciation (“Real Estate”).

Investor capital will be allocated into several diversified investment grade portfolios of securities (“Securities Portfolios”). These investment portfolios are limited access portfolios with top tier investment entities. Investor funds are allocated based on portfolio performance and the prospect of high alpha returns. The Fund investment focus is on dividend growth and low beta portfolios.

SUMMARY OF OPERATIONS

The Securities Portfolios held by Vivaris Capital will be collateralized and the proceeds will be used to make opportunistic investments in alternative assets categorized as late-stage venture firms to mature businesses looking for capital to expand or restructure operations, finance an acquisition, or enter a new market (Growth Equity) and suitable properties ranging from land development to value-added remodels and repositioning for both large scale residential and commercial opportunities (Real Estate).

Proceeds from the sale or refinancing of the alternative assets will be used to cover the accrued interest of the credit line against the Securities Portfolios. Investors will have the opportunity for capital gains from both the Securities Portfolios as well as the Growth Equity and Real Estate alternative assets.

The Securities Portfolios appreciation will serve as downside protection for the alternative asset investments. The Fund’s goal in the event of severe losses on the alternative asset investments is to be able to return at a minimum the investors’ initial principal investment. Target returns as a whole for the Securities Portfolios should be able to cover all accrued interest in relation to the credit line as well as offset any significant losses from the alternative asset investments in the event of a catastrophic failure by the investment, with the intention of protecting the investors’ initial principal.

J. Christopher Mizer

Managing Memeber, President & Chief Executive Officer

Mr. Mizer founded Vivaris, Ltd. in June of 1998. Vivaris (formerly Lake Erie Capital) invests in and acquires middle-market businesses in a broad range of industries that are leaders in their market niches. Mr. Mizer serves as the chairman of each of the portfolio companies and guides key strategic decisions and their execution. He also serves as the operating president on an interim basis when companies are going through periods of ownership succession and new management team members are being assembled.

Mr. Mizer is a former Vice President and Officer of the investment banking division of Key Capital Markets, where he focused on merger, acquisition, and financing projects for Fortune 500 clients, private companies, and successful entrepreneurs. Prior to joining Key Corp., he was a consultant in the Capital Markets practice with Ernst & Young. He began his career as a Research Assistant with The Center for Economic Issues, a think-tank focused on economic development. He earned the B.S. (biology, applied math), B.A. (economics), M.S. (biology - neurogenetics), and M.B.A. (finance, accounting) degrees from Case Western Reserve University.

Mr. Mizer has taught business strategy, finance, and entrepreneurship at the graduate level at Case Western Reserve University, John Carroll University, and the University of California, San Diego, and at the undergraduate at San Diego State University.

Steve Scholl

Managing Member & Chief Operations Officer

Mr. Scholl was a Principal and Co-Founder of National Schedule Masters, a software and consulting business focused on the land development and construction industries. He built a national sales force and operational processes for entitlement and construction strategies for municipal, military, and private-sector clients. His extensive development and construction skills yielded hundreds of major clients including Cadillac Fairview, Daon, The Irvine Company, DR Horton, Tishman, Lennar, Pulte, Fluor, Kiewit, U.S. Olympic Committee, Magic Mountain, Disney, and the U.S. Military, as well as projects in 22 countries.

As President of National Bankers Acceptance Corporation, a mortgage and investment bank, Mr. Scholl oversaw the acquisition of construction loans for commercial, residential, and land loan clients. He represented and approved loans for over 100 client banks and negotiated a financial joint-venture with Key Bank. Under Key Bank, Mr. Scholl managed 7 residential retail loan offices in California and managed underwriting and funding of over 3,000 residential loans in a 3-year period. In addition, he negotiated construction and permanent financing for office, retail, and industrial developers.

Mr. Scholl was also successful in negotiating contracts with the FDIC that yielded transactions totaling over $10 billion including one transaction of $4.5 billion.

Mr. Scholl is also committed to charity. He formed Dr. Prison, a not-for-profit organization, which provides services to first-time offenders and to families of the incarcerated.

Mark Hamade

Managing Member & Operations Manager

Mark Hamade brings 25 years of pragmatic results-driven general management and operations experience. As a senior executive, Mr. Hamade is known as an innovative strategist, developer, and leader of people and culture. His career has been delivering uncommon results with pragmatic solutions in several industries, where he was tasked to create successful growth strategies. In the search industry, he was responsible for growing and expanding several clients at a top 5 nationally ranked search firm. Relationships from this work led him to the practice of working with CEOs from small, mid, large, and start-up to turnaround organizations.

Applying all of the lessons from his previous experience, Mr. Hamade developed and grew a very successful global consultancy. Within this advisory, he was responsible for numerous operational and strategic turnarounds within the steel industry and in general manufacturing, as well as renewable energy and industrial engineering. This global work required that he establish and create turnaround and growth results in Mexico, the Middle East, Europe, and Asia. He maintains business connections in over 50 countries, including those with the wealthiest economies.

Mr. Hamade earned both his B.S. and master’s degrees in Criminal Justice at Washburn University.

Mr. Weeks brings more than 20 years of recruiting, networking, and sales experience for billion dollar companies in the wellness, finance and energy spaces to Vivaris.

As an inventive entrepreneur, Mr. Weeks has spent 15 years traveling the world working to eliminate global malnutrition. Weeks helped create a for-profit “donations through consumption” business model that has entered into the marketplace with more than $4 billion worth of real food technology. This project has allowed Weeks and his team to distribute nutrition to more than 500,000 children around the world.

In addition to his philanthropic work, Mr. Weeks has spent more than a decade creating alternative currencies for barter networks most recently educating people about Bitcoin and the Blockchain. He enjoys helping people get off the grid and generating their own electricity with solar and wind and under the brand NJOY, he helped introduce e-cigarettes to America which has helped many people quit smoking.

The Vivaris Capital, LLC 506(c) Investor Portal provides the capability for prospective accredited investors to become approved as a “prospect", review accreditation requirements, request delivery of the Private Placement Memorandum (“PPM”) with multiple delivery options (print, electronic, flip book), access management contact information, and view the Company’s SEC Form D filing.

For the Company’s management team, this allows for controlled access to the PPM with the prospect providing contact information and, after approval, being added to the investor prospect database which provides management an effective tool for investor prospect relations and management.

Once a prospective investor has decided they are interested in investing, we can then upgrade the prospect account to “Investor” level access. This access now provides the capability for investors to download subscription documents, specific process information for investing and instructions on transfer of investment funds, investor relations contact information, and the ability to see in real time statistics on the offering.

Investor level access also includes access to an investor relations module that provides Investors the capability to access updates from management, quarterly and annual reports, operations or project updates from the Company, press releases, and Company financials. The portal’s mobile “app” type interface will allow the Company’s management team to review and approve upgrading prospects to “Investor” status from mobile devices in real time.
